This Creator Agreement ("Agreement") is entered into between Phoenix Consulting Group, LLC ("MuseNest Club," "we," "us," or "our") and any person who uploads, generates, streams, or otherwise makes available content on MuseNest Club ("Creator" or "you"). This Agreement is in addition to, and does not replace, our Terms of Service, Acceptable Use Policy, Privacy Policy, and 18 U.S.C. § 2257 Compliance Notice.
MuseNest Club provides technology and payment infrastructure that enables Creators to publish digital content to paying subscribers. As a Creator you are the sole author and rights-holder of the content you upload, and you are solely responsible for ensuring that content complies with applicable law, our published Standards, and the specific requirements of this Agreement. This Agreement applies to every item of content you upload, generate, or stream on or through MuseNest Club, including but not limited to subscription posts, pay-per-view media, custom-content deliverables, direct-message attachments, profile media, and any live or real-time streams.
You may not upload, generate, stream, describe, or otherwise make available on MuseNest Club any Content or activity that is illegal or that otherwise violates the Standards. Without limiting the generality of the foregoing, the following are absolutely prohibited and will result in immediate removal of the Content, immediate termination of your account, forfeiture of any pending earnings from the offending Content, and — where applicable — referral to the National Center for Missing and Exploited Children (NCMEC) and/or law enforcement:
You agree that MuseNest Club may, in its sole discretion, refuse to publish, remove, or otherwise restrict access to any Content that we determine violates the Standards, whether identified through pre-publication review, subsequent moderation, a complaint, or otherwise.
For every item of Content that depicts any person — including yourself — you must obtain and retain written consent from each Depicted Person, executed before the Content is uploaded to MuseNest Club. That written consent must specifically cover each of the following:
Consent must be specific to the Content and to the uses set out above. A general model release, a general "I agree" to unrelated terms, or consent obtained by fraud, duress, or under conditions that would render it invalid under applicable law is not sufficient. Consent may be revoked prospectively by the Depicted Person at any time; upon receiving such revocation you must promptly remove the affected Content and notify us at [email protected].
For every Depicted Person in every item of Content, you must, before uploading the Content:
You must be able to produce the Records for any Content, on request, within 5 business days of a written request from MuseNest Club, our payment processor, or any regulator or law-enforcement authority with lawful jurisdiction. Failure to produce Records on request is grounds for immediate removal of the affected Content and, in our sole discretion, suspension or termination of your account.
For Content depicting sexually explicit conduct as defined by 18 U.S.C. § 2257, the identity and age verification records required by that statute — including the records held by the platform's Custodian of Records — are in addition to, and not in substitution for, the Records required by this Agreement. You must retain the Records for each item of Content for the greater of (a) the entire period during which the Content is available on or through MuseNest Club, plus seven (7) years thereafter, or (b) any longer period required by applicable law. Records must be stored securely, indexed so that the Records for any specific item of Content can be located promptly, and made available to us for inspection on request as described in Section 5.
All Content is reviewed by our compliance team before publication, as described in Section 5 of our Terms of Service. Passing pre-publication review does not relieve you of any obligation under this Agreement, does not constitute a legal opinion or a warranty by MuseNest Club about the Content, and does not shift responsibility for compliance with law, consent, or the Standards away from you.
You represent and warrant, on a continuing basis, that:
We may, in our sole discretion and without prior notice, remove or restrict access to any Content, suspend your account, terminate your account, or withhold payouts, if we have a reasonable basis to believe that you or any Content is in breach of this Agreement, the Standards, or applicable law. We may also take these actions on request from our payment processor, or in response to a lawful order from a regulator or law-enforcement authority.
In addition to any other remedies, you agree to indemnify and hold harmless MuseNest Club and its officers, employees, agents, and licensors from any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising out of or related to any breach by you of this Agreement, the Standards, or any warranty or representation set out above.
If you disagree with a compliance decision — for example, a removal, suspension, or refusal to publish — you may appeal following the process set out in our Appeals & content removal review page. Any person depicted in Content on the platform may also request removal following the procedure on that page.
This Agreement supplements, and does not replace, our Terms of Service, Acceptable Use Policy, Privacy Policy, 18 U.S.C. § 2257 Compliance Notice, DMCA / Content report policy, Complaints & Content Removal Policy, Appeals policy, and Anti-human trafficking policy. In the event of any conflict between this Agreement and any of those documents on a subject specifically addressed in this Agreement (prohibited content, consent, age and identity verification, or Records), this Agreement controls; on all other subjects the more specific document controls.
We may update this Agreement from time to time. Material changes will be communicated by email or by a
prominent in-platform notice at least 14 days before taking effect. Continued use of
MuseNest Club as a Creator after the effective date constitutes acceptance of the revised Agreement.
